Terms and conditions

Last updated on 28 August 2026. Applies to all quotes and agreements of TechGents.

1. Applicability

These general terms and conditions apply to all quotes, agreements and work of TechGents (Chamber of Commerce no. 85220647), unless otherwise agreed in writing.

Deviations from these terms are only valid if expressly agreed in writing.

2. Quotes and formation of the agreement

Quotes from TechGents are without obligation and valid until the date stated on the quote, unless indicated otherwise.

An agreement is formed when the client accepts the quote in writing (including via the online quote page) or verbally.

Obvious clerical or calculation errors in a quote do not bind TechGents.

3. Performance of the agreement

TechGents performs the agreement to the best of its knowledge and ability, in accordance with the requirements of good workmanship.

Stated delivery times are indicative and never constitute a strict deadline, unless expressly agreed otherwise in writing.

The client ensures that all data, copy, images and access reasonably needed for performance are supplied on time.

4. Prices and payment

All prices are in euros and exclude VAT, unless stated otherwise.

Payment must be made within 14 days of the invoice date, unless a different term is stated on the quote or invoice.

If the payment term is exceeded, the client is in default by operation of law and TechGents is entitled to charge the statutory commercial interest and reasonable collection costs.

TechGents may suspend work as long as outstanding invoices have not been paid.

5. Third-party services

Insofar as the agreement includes the use of third-party services (such as hosting, domain registration or external software), the terms of that third party also apply. TechGents is not liable for shortcomings of these third parties.

6. Intellectual property

After full payment, the client acquires ownership of the website, application or source code developed specifically for them, unless otherwise agreed in writing.

Generic libraries, frameworks and in-house tooling used by TechGents remain the property of TechGents or the relevant rights holder.

7. Liability

TechGents’ liability for damage arising from the agreement is limited to the amount charged for the assignment concerned, up to a maximum of the amount paid out by TechGents’ liability insurance in the case in question.

TechGents is never liable for indirect damage, including consequential damage, lost profits or missed savings.

8. Force majeure

TechGents is not obliged to fulfil any obligation if prevented from doing so by force majeure. Force majeure includes: disruptions at third parties/suppliers, internet or power outages, and government measures.

9. Disputes and applicable law

Dutch law applies to all agreements with TechGents.

Disputes are preferably resolved by mutual consultation. If that is not possible, the competent court in the district where TechGents is established has jurisdiction.
